1. Who we are and how these terms work

Proudly Canadian Fièrement Canadien™ is a national certification initiative and online platform promoting Canadian-made goods, Canadian-owned businesses, and high-standard products and services. “Proudly Canadian Fièrement Canadien™,” “we,” “us,” and “our” mean Proudly Canadian Fièrement Canadien Inc.

These Terms of Use govern access to and use of our website and services (“Site” or “Services”). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

We may update these Terms at any time. Updates take effect when posted. If a change materially affects your rights, we will make reasonable efforts to notify you, such as by email or platform notice.

2. Key definitions

• account: a registered profile on the Site
• member: a business with active Proudly Canadian Fièrement Canadien™ certification
• visitor: any person browsing or accessing the Site without an account
• content: anything posted or uploaded, including logos, images, text, certification claims, or product listings
• applicable laws: includes Canadian federal and provincial law, and any laws that apply based on your jurisdiction

3. Eligibility, accounts, and security

You must be legally able to enter a contract in your jurisdiction to create an account or apply for certification. If you register, you agree to:

• provide accurate and current information
• keep login credentials secure
• accept responsibility for all activity under your account

We may suspend or terminate accounts for policy violations, misuse of certification, unauthorized seal use, or security concerns.

4. What Proudly Canadian Fièrement Canadien™ is (and is not)

Proudly Canadian Fièrement Canadien™ is a national certification platform. We certify products, services, and businesses that meet our Canadian origin and ethical standards.

We are not a seller of goods, marketplace operator, or fulfillment service. We do not guarantee sales, distribution, or business success. Certified businesses are fully responsible for the quality, safety, supply, and legal compliance of their products and services.

5. Acceptable use and prohibited conduct

You agree not to:

• misuse the Proudly Canadian Fièrement Canadien™ Seal or falsely claim certification
• post false, defamatory, fraudulent, or misleading content
• submit incomplete or deceptive information in a certification application
• upload malware or attempt to breach website security
• scrape, crawl, harvest, or reverse-engineer the Site without permission
• claim endorsement by Proudly Canadian Fièrement Canadien™ without approval
• interfere with the Site or tamper with compliance systems
• reuse logos, marks, or content that you are not licensed to use

We may block access, remove content, or disable accounts to protect the certification integrity and users.

6. Member services

Certified members may access promotional tools, visibility listing, Seal usage assets, profile management, onboarding support, and other services provided by Proudly Canadian Fièrement Canadien™.

Members must:

• follow certification standards and display guidelines
• keep all claims about certification truthful and current
• maintain eligibility for the duration of membership

7. Third-party links and integrations

The Site may link to third-party platforms, business directories, or ecommerce partners. These platforms are not owned or controlled by Proudly Canadian Fièrement Canadien™. When using third-party services, you are subject to their own terms and privacy policies.

8. Pricing, fees, billing, and renewals

Membership fees, licensing fees, and renewal terms are posted at the time of purchase. By subscribing, you agree to:

• pay all fees and applicable taxes
• automatic renewal until cancelled where applicable
• manage cancellations or account status through your profile

Refunds are not guaranteed unless required by law or explicitly stated.

Founding partners and approved ambassadors may be granted fee waivers based on their role and commitments.

9. Use of the Proudly Canadian Fièrement Canadien™ Seal

Use of the Seal is subject to a separate Certification Use and Compliance Policy (CUCP). By downloading, displaying, or referencing the Seal, you agree to all certification rules, display standards, and enforcement procedures.

Unauthorized or misleading use of the Seal may result in immediate legal action, account termination, and public notice.

10. Intellectual property

All Site content, including the Seal, brand assets, text, graphics, designs, and software, is owned by Proudly Canadian Fièrement Canadien™ or licensed to us.

You may not copy, modify, distribute, or republish Site content except as expressly permitted in writing.

11. Privacy and data

Our Privacy Policy explains how we collect, use, and protect personal data. By using the Site, you consent to our data practices as published.

12. Disclaimers

The Site and Services are provided “as is” and “as available.” We do not guarantee uninterrupted access, error-free content, or business outcomes.

Certification does not imply legal compliance, product safety, or consumer protection. Members are fully responsible for their own legal and commercial obligations.

13. Limitation of liability

To the fullest extent allowed by law, Proudly Canadian Fièrement Canadien™ is not liable for indirect, incidental, punitive, or consequential damages.

Our total liability for any claim is limited to the greater of 100 CAD or the amount you paid for the related service in the 12 months before the claim.

14. Indemnity

You agree to indemnify and hold harmless Proudly Canadian Fièrement Canadien™ and our officers, directors, staff, and agents from any legal claims resulting from:

• your misuse of the Seal
• your breach of these Terms
• your products, services, claims, or legal violations

15. Term, suspension, and termination

These Terms apply while you use the Site. We may suspend or terminate access for any violation of these Terms, certification rules, or applicable law.

You may delete your account at any time. Sections on intellectual property, limits, indemnity, and governing law continue after termination.

16. Governing law and jurisdiction

These Terms are governed by Canadian federal law and the laws of the Province of British Columbia. Disputes must be resolved in courts located in that province unless required otherwise by local law.

18. Entire agreement

These Terms, together with our Privacy Policy and Certification Use Policy, constitute the complete agreement between you and Proudly Canadian Fièrement Canadien™ regarding your use of the Site. If any part is unenforceable, the remainder remains in effect.
